Hypothetical example: the seller's lawyer proposes a standard deposit refundable if the buyer changes her mind. That leaves the money under the buyer's control and not at risk. Redraft so that the full price or a substantial part of it is deposited with a neutral escrow agent, released to the seller when the consulate approves the E-2 application and the state issues the new childcare licence, and returned to the buyer only if one of those conditions fails through no fault of hers.
Include a clause obliging the buyer to complete the purchase once the conditions are satisfied. Assemble the signed agreement, the escrow instructions, the agent's receipt, the wire confirmations from the couple's Canadian account, and the source-of-funds records: the home sale closing statement and savings statements. Add certified English translations of any French documents.
Keep a one-page schedule that ties every dollar to a page in the file. A strong file follows the money in order: lawful source, account receipt, conversion if any, transfer, contract, invoice, and the enterprise asset received. It also connects forecasts to a lease, supplier terms, staffing plan, and licences.
Hypothetical example: a bicycle-repair entrepreneur pays a franchise deposit through a family account. The reviewer gathers the family's transfer record, the entrepreneur's receipt, the franchise agreement, and the bank trail before describing the deposit. Skipping an intermediate account invites an avoidable question about whether the investor actually controlled the funds.
