Start with the L-1A eligibility and application overview
Prove the relationship with closing documents, not a press release
An acquisition qualifies only if the completed transaction gives the Canadian company, or the same owners, control of the U.S. plant as a parent, subsidiary or affiliate. Assemble the signed purchase agreement, the stock ledger or membership register showing the transfer, board or member resolutions and evidence that the price was paid. If the deal was structured through a holding company owned by the family, the chain of ownership must be drawn out so that common control is visible. A letter of intent or an announcement proves nothing about the relationship.Reconcile the ownership chart to the legal records for the two corporate jurisdictions. If percentages changed after closing, explain the date and control consequence instead of leaving an old chart in the file.
Describe managerial duties that survive a small plant
In a thirty-person plant the manager will inevitably walk the floor, and the file should admit that. What makes the role managerial is that she directs supervisors or professional staff, controls hiring and discipline, sets production schedules and budgets and has discretionary authority over day-to-day operations. List the positions reporting to her by title, the decisions reserved to her and the proportion of time she will spend on each. A description that hides hands-on work reads as evasive; one that shows it is a minority reads as credible.Use a weekly duty allocation identifying subordinate titles and decisions requiring the manager’s approval. That approach is stronger than a generic executive title when USCIS tests the real operating structure.
Document the continuous year with payroll, not memory
The qualifying year must be continuous employment abroad within the three years before the petition, with the same company or a qualifying affiliate. Payroll records, T4 slips and her employment agreement establish it. Time spent visiting the U.S. plant during due diligence does not count toward the year but does not break it either; a period on layoff or working for an unrelated contractor could. Reconstruct the actual dates from records before the petition asserts them.Create a date-by-date payroll table for the claimed twelve months and mark any leave, travel, or contractor period. That table shows which documents prove continuity and which dates need explanation.
Plan for the seven-year ceiling and the spouse
L-1A status is initially granted for up to three years — or one year if the U.S. plant is treated as a new office — and can be extended to a total of seven years. If the U.S. plant was operating under the seller, it is not a new office, but be ready to show it is doing business. Her spouse would hold L-2 and is authorized to work incident to that status; unmarried children under twenty-one may study but not work.Set a cap calendar from the first admission, including extensions and dependent-document renewals. This prevents a household or employer from confusing a business expansion plan with available L-1 time.
